1. Assignment
Assignor assigns to Company all right, title, and interest in any inventions, improvements, designs, works of authorship, or other intellectual property ("Inventions") that Assignor conceives, develops, or reduces to practice during their engagement with Company, that either (a) relate to Company's business or actual/anticipated research, or (b) result from work performed for Company.
2. Prior Inventions Excluded
The following inventions, developed before this engagement, are excluded from this assignment and remain Assignor's property: [List, or "none"].
3. Disclosure
Assignor will promptly disclose to Company any Invention covered by Section 1.
4. Assistance
Assignor will assist Company, at Company's expense, in obtaining and enforcing patents or other IP protection for assigned Inventions, both during and after the engagement.
5. Moral Rights Waiver (if applicable)
To the extent permitted by law, Assignor waives any moral rights in assigned works of authorship.
6. Survival
This Agreement survives termination of Assignor's engagement with respect to Inventions conceived during the engagement.
