Guarantee and Postponement of Claim

1. Guarantee

Guarantor unconditionally guarantees to Lender the payment of all amounts owed by Borrower under [the underlying loan agreement], up to a maximum of [Amount, or "the full amount owed"].

2. Postponement of Guarantor's Claims

Any amounts Borrower owes to Guarantor (e.g. shareholder loans, unpaid salary, or other advances Guarantor has made to Borrower) are postponed and subordinated to Borrower's obligations to Lender — Guarantor will not demand or accept repayment of these amounts from Borrower while any amount remains owed to Lender, without Lender's written consent.

3. No Set-Off

Guarantor will not set off any amount Borrower owes Guarantor against Guarantor's own guarantee obligations to Lender.

4. Continuing Guarantee

This guarantee and postponement remain in effect for so long as Borrower owes any amount to Lender, and survive any partial repayment or restructuring of the underlying debt.

5. Release

This guarantee and postponement are released only upon written confirmation from Lender that all amounts owed by Borrower have been paid in full.
