1. Purpose

This Master Service Agreement ("MSA") sets the general terms governing all work performed by Provider for Client. Specific projects will be described in individual Statements of Work ("SOWs") that reference this MSA.

2. Order of Precedence

If an SOW conflicts with this MSA, the SOW controls for that specific project only.

3. Payment Terms

Unless a specific SOW states otherwise, invoices are due [Net 30] from the invoice date.

4. Intellectual Property
